1. Agreement to Terms
By accessing or using our application and any associated software products, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, then you may not access the service or use the software. These terms apply to all visitors, users, and others who access or use the application.
2. User Accounts and Security
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account. You are responsible for safeguarding the password that you use to access the service and for any activities or actions under your password.
3. License Grant and Restrictions
Upon purchase or issuance of a valid license key (including trial licenses), you are granted a revocable, non-exclusive, non-transferable, limited license to use the software.
Domain Locking: Licenses are cryptographically bound to the specific domain, hardware, or environment where they are first activated. You may not transfer a license to a different domain without explicit authorization or resetting the domain lock via the client portal.
Sharing: You may not distribute, share, lease, resell, or sublicense your license key to any third party.
4. Anti-Piracy and Reverse Engineering
To protect the intellectual property of our software, you strictly agree NOT to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, custom logic, or cryptographic algorithms of the software.
- Bypass, modify, or disable any license validation checks, tamper-protection layers, or remote kill switches.
- Modify, delete, or manipulate core SDK files (e.g., AppClient.php or license_check.php).
- Intercept, forge, or spoof API telemetry responses or simulate the licensing server environment.
Violation of this clause will result in immediate, permanent license revocation without a refund, and may result in legal action.
5. Telemetry and Remote Validation
You acknowledge and agree that the software requires an active internet connection to periodically communicate with our central licensing servers. The software will transmit necessary environment telemetry (including but not limited to IP addresses, domain names, operating systems, and PHP versions) solely for the purpose of validating the authenticity and status of your license.
6. Over-The-Air (OTA) Updates
Our software may include automated Over-The-Air (OTA) update functionality to provide security patches, bug fixes, and new features. By using the software, you consent to the software automatically downloading, extracting, and applying these updates, as well as running necessary database migrations.
7. Acceptable Use
You agree not to use the application in any way that causes, or may cause, damage to the application or impairment of the availability or accessibility of the application. You must not use our software in any way which is unlawful, illegal, fraudulent, or harmful, including any activity that violates South African law or IFRS accounting principles.
8. Intellectual Property
The application, software products, and their original content, features, and functionality are and will remain the exclusive property of Christo Lochenberg Developments and its licensors. Our software, custom logic, and templates may not be used in connection with any product or service without our prior written consent.
9. Limitation of Liability
In no event shall Christo Lochenberg Developments, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service or software. Trial or free software is provided "AS IS" without warranty of any kind.
10. Termination and Suspension
Administrators reserve the right to terminate or suspend your account and remotely revoke your active software licenses immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service and the software will immediately cease.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
